This summary is for orientation only. The numbered sections below are the binding agreement, and they govern wherever the two appear to differ.

1. This agreement

These Terms and Conditions (the Terms) are a contract between ZENCRAFTLABS FZ-LLC (vidhi, we, us) and the organisation that subscribes to our service (you, Customer). They cover the vidhi mobile app, the manager dashboard, this website, and any related support — together, the Service.

By subscribing to the Service, signing an order for it, or using it, you accept these Terms. If you are accepting on behalf of a business, you confirm you have the authority to bind that business. If you do not have that authority, or do not accept these Terms, do not use the Service.

Where you and we sign a separate written agreement or order form covering the Service, that document governs to the extent it conflicts with these Terms.

2. The Service

vidhi is a frontline operations platform for multi-location businesses: digital checklists and inspections, tasks, audits, work orders, assets, announcements, and reporting across sites. We grant you a non-exclusive, non-transferable right to access and use the Service during your subscription, for your own internal business purposes, subject to these Terms.

The Service is business software sold to organisations. It is not intended for personal or household use, and it is not available to anyone under 16.

3. Accounts and administrators

Your administrators create and manage user accounts for your team, assign roles and sites, and control what each person can see and do. You are responsible for the accounts created under your organisation, for the accuracy of the details entered, and for everything done through them.

Keep credentials confidential. Tell us promptly at app@vidhi.team if you believe an account has been compromised. You are responsible for ensuring your team members are informed about how their workplace data is handled — our side of that is set out in the Privacy Policy.

4. Acceptable use

You are also responsible for using the Service lawfully as an employer — including any local rules about monitoring staff, recording work, and handling employee data.

5. Your content

Everything you and your team put into the Service — checklists, submissions, photos, tasks, audits, records and comments (Customer Content) — remains yours. We claim no ownership of it.

You grant us a limited licence to host, store, transmit, display and process Customer Content solely to provide, secure, and support the Service, and to comply with the law. We do not use Customer Content for advertising, we do not sell it, and we do not use it to train AI models.

You are responsible for having the rights necessary to upload the Customer Content, and for its accuracy and legality. Individual attachments are subject to a size limit — currently 10 MB per file — and to any storage limits in your plan.

6. Plans, pricing and billing

vidhi is priced per site, not per user: every manager and frontline team member at a subscribed site is included, so adding staff never increases your bill. Current published pricing for the Standard plan is $39 per site per month or $390 per site per year — pay for ten months and get twelve. In India, the equivalents are ₹1,999 and ₹19,990. Enterprise pricing is quoted individually.

The prices that apply to you are those in effect when you place your order, and they hold for the period you have paid for. We may change published prices for future periods; where a change affects your renewal, we will tell you before it takes effect so you can decide whether to continue.

Fees are payable in advance for each period. Indian customers can pay by card or UPI through Razorpay, our payment processor — card details go to Razorpay directly and we never receive or store them. Invoices are issued through Zoho Books. Fees are exclusive of taxes; you are responsible for any VAT, GST, or similar amounts, other than taxes on our income.

If a payment fails or is overdue, we may suspend access to the Service after giving you notice and a reasonable chance to fix it.

7. AI features and credits

Some features use AI — for example, comparing a submitted photo against a reference image and flagging apparent deviations. These run on credits. Annual subscriptions include a $40 (₹2,000 in India) AI credit for your first site; further credits are bought as top-ups.

AI output is advisory and probabilistic. It can be wrong. It is a prompt for a human to look more closely, not a decision, a certification, or a compliance finding — and it must never be the sole basis for a decision about a person, including any disciplinary or employment decision. You are responsible for reviewing AI output before acting on it. Credits are not refundable for cash and expire as stated at purchase. Where the feature is enabled, images are processed by our AI sub-processor as described in the Privacy Policy.

8. Term, renewal and cancellation

Each site subscription runs for the period you chose — monthly or annual — and renews automatically for a further period unless cancelled before the period ends. You can cancel at any time through your dashboard or by writing to app@vidhi.team.

Cancelling stops the next renewal. Your access continues until the end of the period you have already paid for, and it is not cut short.

9. Refunds

Fees already paid are non-refundable, except where the law requires a refund or where we have agreed otherwise in writing in an order form. If we terminate your subscription for convenience partway through a paid period, we will refund the unused portion on a pro-rata basis.

10. Availability, support and changes

We work to keep the Service available and reliable, but we do not promise uninterrupted access under these Terms. Maintenance, updates, and occasional downtime happen. Where we have separately agreed a service level with you in writing, that agreement governs availability.

Support is provided by email at app@vidhi.team. We may improve, change, or discontinue parts of the Service; if we remove a material feature you rely on, we will give reasonable notice, and if the change materially reduces the Service’s value to you, you may cancel and receive a pro-rata refund for the unused period.

11. Third-party services

The Service relies on third parties — hosting and storage, email delivery, payment processing, invoicing, and AI processing. They are listed in the Privacy Policy. We choose them carefully and bind them by contract, but we are not responsible for their own services, terms, or availability beyond our obligations to you under these Terms.

12. Intellectual property

The Service — its software, design, documentation, and the vidhi name and marks — belongs toZENCRAFTLABS FZ-LLC and its licensors. These Terms grant you a right to use the Service; they transfer no ownership. If you send us feedback or suggestions, we may use them freely to improve the Service, without obligation to you.

13. Confidentiality

Each of us may learn confidential information about the other. Both of us agree to protect it with reasonable care and to use it only for the purposes of this agreement. This does not apply to information that is public through no fault of the receiver, already known, independently developed, or required to be disclosed by law — in which case the discloser gets notice where legally possible.

14. Disclaimers

Except as expressly stated in these Terms, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, that it will meet every requirement, or that AI output will be accurate.

vidhi is a tool for recording and coordinating work. It is not a substitute for your own legal, regulatory, food-safety, or health-and-safety compliance obligations, and using it does not certify compliance with any standard.

15. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised such losses were possible.

To the maximum extent permitted by law, each party’s total aggregate liability arising out of or relating to these Terms is limited to the fees you paid us for the Service in the twelve monthsimmediately before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law — including liability for fraud, for fraudulent misrepresentation, or for death or personal injury caused by negligence.

16. Indemnity

You will defend and indemnify us against third-party claims arising from your Customer Content, your use of the Service in breach of these Terms, or your breach of law. We will defend and indemnify you against third-party claims that the Service, used as permitted, infringes their intellectual property rights. In each case the indemnified party must give prompt notice, reasonable cooperation, and control of the defence.

17. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms and do not fix the breach within 30 days of notice, if payment is overdue after notice, or immediately where continued access poses a security or legal risk. You may terminate at any time as described in section 8.

On termination, your right to use the Service ends. For 30 days afterwards you may ask us to export your Customer Content, and we will provide it in a machine-readable format. After that, we delete or anonymise it in line with the retention section of the Privacy Policy. Sections that by their nature survive termination — content ownership, confidentiality, disclaimers, liability, indemnity, and governing law — continue to apply.

18. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah, without regard to conflict-of-laws rules. The courts of Ras Al Khaimah have exclusive jurisdiction over any dispute, and both parties submit to them.

Before starting proceedings, we each agree to try to resolve the dispute in good faith by writing to the other and allowing 30 days for a response. Nothing here prevents either party from seeking urgent injunctive relief.

19. General

These Terms, together with the Privacy Policy and any order form, are the entire agreement between us about the Service. If a provision is found unenforceable, the rest continues in force. A delay in enforcing a right is not a waiver of it. You may not assign this agreement without our written consent; we may assign it to an affiliate or in connection with a merger or sale of the business. Neither party is liable for failure to perform caused by events beyond its reasonable control. Nothing in these Terms creates a partnership, agency, or employment relationship.

20. Changes to these Terms

We may update these Terms as the Service and the law evolve, and the date at the top shows when they last changed. For changes that materially affect your rights or obligations, we will give notice in the app or by email before they take effect. Continuing to use the Service after that means you accept the updated Terms; if you do not, you may cancel as described in section 8.
